VI. INTERNAL STRUCTURE OF THE CHAMBER

1. Chamber Assembly

Article 43

1. The Chamber Assembly shall consist of fifteen representatives of each individual department, elected at department meetings.
2. Terms of office of Assembly members shall be set at four years, that is until the election of new members.

Article 44

1. Any decisions maintained and brought by the Assembly shall be considered valid if the majority of members of each department is present at the meeting.
2. Any decision of the Assembly for which the majority of representatives of each department voted, shall be considered valid.
3. Any member of the Assembly who was validly banned from performing jobs for a specific period of time, shall not have the right to participate in the work of the Assembly.
4. If in case of paragraph 3 of this article, the department fails to appoint a new representative and inform the Chamber thereof prior to Assembly meeting, the provisions of these Articles of association relating to the number of Assembly members and quorum shall be adjusted to the smaller number of members.

Article 45

1. Regular Assembly meetings shall be held at least once a year. If necessary, a special Assembly meeting can be held, pursuant to Article 8 of Act on the Croatian Chamber of Architects and Civil Engineers.
2. Assembly meetings shall be held in Zagreb, unless otherwise provided by the Assembly at an earlier meeting.

Article 46

1. Notice of Assembly meeting shall be delivered to all Assembly members no later then fifteen days prior to the day on which the meeting is to be held.
2. Notice of Assembly meeting shall contain suggested agenda, place and opening time.
3. Apart from the Notice of Assembly meeting, members shall also be delivered all materials prepared for the meeting, unless otherwise provided by Rulebook on Assembly work.

Article 47

1. Apart from matters provided in the Act on the Croatian Chamber of Architects and Civil Engineers, the Assembly shall:
1) adopt the Rulebook on compensation of necessary expenses to Chamber members and other persons
2) adopt the Rulebook on the use of collected fines and procedural costs
3) adopt the Rulebook on entry into Chamber Register of persons who do not meet the conditions for entry into Chamber (Article 26, paragraph 4 of Act on the Croatian Chamber of Architects and Civil Engineers)
4) adopt the Rulebook on honorary members of the Chamber
5) adopt the Rulebook on organizing and implementing public competitions from the domain of architecture and urbanism
6) adopt the Rulebook on the work of Disciplinary court and Appellate disciplinary court
7) adopt the Rulebook on care
8) adopt the Rulebook on permanent professional and scientific betterment
9) elect and relieve of duty Chamber presidents and Chamber vice-presidents
10) elect and relieve of duty president, vice-president and at least five members of each of the following: disciplinary court, appellate disciplinary court, prosecutor of disciplinary court and at least three of his deputies
11) elect members of the supervisory Committee
12) acknowledge members of the Managing Board elected by the departments
13) approve incomes and expenditures of the Chamber
14) discuss and decide on all matters relating to performance of architectural and civil engineering work and the position of architects and civil engineers
15) consider and comment on Managing Board’s reports on the work conducted in the preceding period and relieve the Managing Board
16) take into consideration reports of the supervisory Committee
17) decide on other matters from the agenda

2. If necessary, the Assembly shall have the authority to bring other general acts, establish and appoint competent commissions, for the purposes of resolving issues, in accordance with the act and these Articles of association.
3. The Assembly shall have the authority to discuss and decide on any matters from the domain of other Chamber bodies.


Article 48

1. The Assembly shall have the authority to recall members of Chamber bodies it elects, and shall, in that case, elect new ones without delay.
2. When a vacancy appears in one of Chamber bodies, the Assembly shall elect a new member at the first following meeting.

Article 49

1. Work of the Assembly shall be conducted in accordance with the Rulebook on Assembly work.
2. Managing Board

Article 50

1. Managing Board shall consist of three members of each department, elected at department meetings, as well as of head of each department and their deputies.
2. Department heads and their deputies shall, by virtue of their position, be members of the Managing Board.
3. Chamber president, who is by virtue of his position member of the Managing Board, shall preside over the Managing Board.
4. Term of office of members of the Managing Board shall be set at four years, i.e. until the election of new members.

Article 51

Apart from matters provided in the Act on the Croatian Chamber of Architects and Civil Engineers, the Managing Board shall:
1. adopt general acts of the Chamber for the adoption of which it is authorized by the Act and these Articles of association
2. appoint Committee for entry into Register of authorized architects and Registers of authorized civil engineers, at the recommendation of departments
3. issue permissions to designing companies, concerning the accordance of founding contract with the act, articles of association and other general acts of the Chamber
4. adopt orders of prohibition of work of designing companies, pursuant to provisions of the Building act
5. adopt orders on suspension and termination of membership in the Chamber
6. issue permits for execution of designing work and expert supervision to architects and civil engineers who are foreign citizens, pursuant to provisions of the Building act
7. appoint temporary substitutes and office transferees in cases provided in these articles of association
8. implement decisions to penalize persons who violated their obligations or damaged the reputation of architects or civil engineers to a greater or lesser extent, as well as valid rulings of disciplinary court
9. consider contracts founding designing companies and contracts founding joint offices
10. establish the top amount of costs of disciplinary proceedings
11. establish the amount of money at the disposal of Chamber’s president
12. draw up annual budgets and expenses of the Chamber, requesting Assembly’s clearance
13. manage Chamber’s financial dealings
14. decide on making the Chamber a member of international associations and other organizations of architects and civil engineers, and appoint Chamber’s representatives in such associations and organizations
15. foster cooperation with Chambers from other countries and corresponding professional and vocational associations abroad
16. appoint editorial staff, as well as executive editors of Chamber’s papers
17. receive and approve reports of Chamber’s president
18. acknowledge reports of the Ministry on Chamber’s work and the state of architectural and civil engineering work
19. perform other relevant work concerning architectural and civil engineering work
20. monitor the work of authorized architects, civil engineers and candidates for entry into registry, as well as that of joint offices and designing companies, taking all necessary measures to ensure correct performance of work
21. establish the program of continuous professional betterment of authorized architects, civil engineers and candidates for entry into the Chamber and monitor the implementation of that program
22. execute other jobs provided by the act, these articles of association and other general acts of the Chamber
23. execute other jobs outside the domain of other Chamber bodies.

Article 52

1. The Managing Board shall convene at the invitation of Chamber’s president every monthly, with the exception of July and August. If necessary, a special meeting can be held, pursuant to Article 10, paragraph 3 of Act on the Croatian Chamber of Architects and Civil Engineers.
2. Notice of meeting shall contain the designated place and time of the meeting and the meeting agenda.
3. Any decisions brought by the board shall be considered valid if at least three members from each department are present at the meeting. The decisions shall be brought by majority vote of the participants, unless otherwise provided in these articles of association.

Article 53

By way of exception to provisions of Article 52, paragraph 3 of these articles of association, the Managing Board shall have the right to do the following if it has majority vote of members from each department:
1) decide on proposals of the Articles of association, Code of conduct and Rulebook on price of services
2) decide on making the Chamber a member of international associations and other organizations of architects and civil engineers, appoint Chamber’s representatives in such associations and organizations
3) establish the amount of money at the disposal of Chamber’s president
4) adopt general acts of the Chamber for the adoption of which it is authorized by the act and these articles of association
5) acknowledge reports of the Ministry on Chamber’s work and the state of architectural and civil engineering work
6) acknowledge reports of Chamber’s president

Article 54

When it comes to monitoring the work of authorized architects and civil engineers, joint offices, designing companies and other legal persons registered as firms dealing in design and expert supervision, the Managing Board shall have the authority to:
1. give instructions, issue warnings and make decisions concerning their work
2. request data and information relating to their work from authorized architects, authorized engineers, joint offices, designing companies and other legal persons which were not founded as designing companies either directly or by way of mediation of the departments
3. take all measures necessary for the resolution of any work-related disputes between authorized architects and/or civil engineers.

Article 55

1. The Managing Board shall foster continuous professional betterment of authorized architects, civil engineers and candidates for entry into the Chamber by means of:
1) organizing consultations, seminars, courses, lectures, platforms, round tables and the like
2) publishing magazines, books and other publications.

2. The Managing Board shall have the right to organize and conduct the forms of continuous professional betterment from paragraph 1 of this article in cooperation with individual departments, the ministry, other governmental bodies, bodies of local self-governing and government, colleges, other professional and scientific institutions, foundations, vocational and professional associations, companies, etc.
3. The Managing Board shall have the authority to organize and realize various forms of continuous professional betterment in cooperation with foreign Chambers of architects and/or civil engineers and other professional associations and organizations.

3. Supervisory Committee

Article 56

1. The Supervisory Committee shall consist of one president and two members elected by the Assembly.
2. Members of the Assembly and the Managing Board can not be elected into the Supervisory Committee.
3. Term of office of members of the Supervisory Committee shall be set at four years, i.e. until new members are elected.

Article 57

1. The Supervisory Committee shall examine Chamber’s finances and annual expenses at least twice a year. It shall submit a report to Chamber’s Assembly annually, and propose the issue of clearances to the old Managing Board on the occasion of electing the new one.
2. The Supervisory Committee, the president and other bodies of the Chamber shall provide all relevant work-related information to the Supervisory Committee.

4. President of the Chamber

Article 58

1. The Assembly shall elect the president of the Chamber and four of his vice-presidents from its own ranks, provided such persons are at the same time members of the Managing Board, for a one-year period.
2. The president of the Chamber shall not simultaneously be the president or vice-president of one of the departments.

Article 59

1. The president of the Chamber shall:
1) convene meetings of the Assembly and the Managing Board and preside over them
2) represent and speak for the Chamber
3) prepare reports of the Chamber to the Ministry on the work of the Chamber and the state in architectural and civil engineering line of work
4) approve payments from the Chamber’s cash register totaling to the amount designated by the Managing Board
5) verify registers and lists of the Chamber by his signature
6) perform other jobs provided by the act, these Articles of association or some other general acts of the Chamber, including jobs entrusted him by the Managing Board.
2. The president shall be accountable for his work to the Chamber’s Assembly and Chamber’s Managing Board.

Article 60

The president shall inform the Chamber’s Managing Board of his actions taken between two meetings, at the first following meeting.

Article 61

One of the vice-presidents chosen by the president shall take the place of unavailable president and assume all his authorities.

5. Departments

Article 62

1. Members of the Chamber belonging to the same professional orientation shall form departments.
2. Membership in particular departments shall be established on the basis of register entries made by the Chamber.

Članak 63.

1. The departments shall formulate their own rules, which shall enter into force on the day they are approved by Chamber’s Managing Board.
2. The rules from paragraph 1 of this article shall govern the internal structure and activities of the department, rights and obligations of department members and other matters of interest to department’s activities conducted in accordance with the Act, these Articles of association, Code of professional conduct and other general acts of the Chamber.

Article 64

1. Department bodies are the department head and the department board.
2. Department head shall have one deputy.
3. Department head and his deputy shall be chosen by the department at its meeting, for a two-year period.
4. The department board shall consist of twenty-one department members, elected at department meetings, for a four-year period. Department rules shall govern the authorities and manner of work of the department board.
5. Department head shall preside over department board.

Article 65

1. Regular department meetings shall be held annually, and convened and presided over by department head.
2. Department heads shall either of his own free will, or at the request of department board or of at least a quarter of total department members, convene a special department meeting.
3. Department meeting can be held and its decisions shall be considered valid only if it is attended by a majority of all members.
4. At department meetings, decisions shall be adopted by a majority vote of present members.
5. All matters relating to the activities and organization of a particular department shall be decided upon at department meetings.

Članak 66.

(1) Stegovni sud nezavisno je tijelo Komore koje odlučuje o težim povredama dužnosti i ugleda arhitekata ili inženjera što ih počine ovlašteni arhitekti i ovlašteni inženjeri.
(2) Stegovni sud odlučuje o žalbama protiv odluka Stogovnog vijeća donesenih u prvom stupnju.

6. Disciplinary court

Article 67

1. Chamber’s Assembly shall elect and relieve of duty the presiding judge, his deputies and judges of the disciplinary court.
2. A member of the disciplinary court shall be considered relieved of duty if the majority of Assembly members vote for his dismissal.
3. A member of the disciplinary court the dismissal of whom is to be discussed at the Assembly meeting, shall be acquainted with the request for his dismissal, the facts on which such a request is based and any proof substantiating such facts, prior to the Assembly meeting at which his dismissal is to be decided upon.

Article 68

1. Disciplinary judges shall be independent and reach verdicts in accordance with the act, Articles of association and the Code of professional ethics.
2. Unless otherwise provided in these Articles of association, provisions relating to summary proceedings, with the exception of rules on bringing in the accused, his promise not to leave his place of residence, pretrial detention warranty, search of persons and premises, due hearing of the case, treatment of disputable real and property-related claims, shall be applied in a suitable manner in the disciplinary proceedings.
3. The public shall be excluded from the proceedings before the disciplinary council.

Article 69

1. Presiding judge shall decide on the activities of the disciplinary court. In case of his being prevented, his deputy shall take over.
2. The disciplinary court shall conduct proceedings in councils consisting of council presiding judge and two members. Council makeup and the order in which cases are to be distributed among them shall be determined by the disciplinary court at the beginning of each year of its term of office.
3. Council shall reach verdicts by a majority vote.

Article 70

The disciplinary court shall:
1. hear cases of heavy violation of duty and damaging the reputation of architects or civil engineers
2. decide on appeals against decisions of the disciplinary council, relating to minor violation of duty and damaging the reputation of architects or civil engineers
3. decide on proposals of disciplinary prosecutor concerning the termination of disciplinary proceedings, following indictment
4. execute other jobs provided by the act and these Articles of association.

Article 71

1. The accused shall have the right to choose his defense attorney in the proceedings before disciplinary court.
2. The council can exceptionally order an obligatory participation of defense attorney in the proceedings, if it holds it is in the best interest of the accused, who failed to choose his defense attorney.
3. The presiding judge of disciplinary court and disciplinary prosecutor of the Chamber shall not have the authority to act as defense attorneys in disciplinary proceedings held before disciplinary court of the Chamber.

7. Disciplinary court of appeals

Article 72

Disciplinary court of appeals shall be an independent body of the Chamber, resolving claims against first degree rulings of the disciplinary court of the Chamber, and performing other jobs provided by the act and these Articles of association.

Article 73

1. The presiding judge, his deputies and judges of the disciplinary court of appeals shall be elected and relieved of duty by the Chamber Assembly.
2. Provisions of Article 67, paragraphs 2 and 3 of these Articles of association shall be applicable to the procedure of dismissal of members of the disciplinary court of appeals.

Article 74

1. Presiding judge shall regulate the work of the disciplinary court of appeals, and in case of his unavailability, he shall be replaced by his deputy.
2. Disciplinary court of appeals shall be divided into councils consisting of council presiding judge and two members. Makeup of such councils and the order of their precedence shall be established by the disciplinary court of appeals at the beginning of each year of its term of office.

Article 75

Provisions of Articles 68 and 71 of these Articles of association shall be applicable to the proceedings before the disciplinary court of appeals.

8. Disciplinary councils

Article 76

1. Authorized architects and authorized civil engineers shall answer for minor violation of duty and damaging the reputation of architects or civil engineers before three-member disciplinary councils. Members of disciplinary councils shall be elected by Chamber’s Managing Board.
2. Disciplinary court shall resolve any claims against the rulings of disciplinary councils.

9. Disciplinary prosecutor

Article 77

1. Disciplinary prosecutor and his deputies shall be elected and relieved of duty by the Chamber’s Assembly.
2. Disciplinary prosecutor shall conduct all jobs in person or through his deputies, who shall adhere to his instructions in the performance of their work.
3. Disciplinary prosecutor shall no be a member of the Managing Board nor of Chamber’s Supervisory Committee.

10. Organizing architects and civil engineers on the territory of local self-governing units

Article 78

1. Any department shall have the authority to establish local committees on the territory of local self-governing units, for the purposes of improving the work of members performing particular work.
2. Local committees can be established for the territory of one or more local self-governing units.
3. The decision to establish local committees shall be made by the department at its meeting, with prior consent of Chamber’s Managing Board.
4. Scope and program of local committees’ activities shall be determined by department committee.

VI. DESIGNING COMPANIES AND JOINT OFFICES

Article 79

1. A copy of contract on the establishment of company shall be delivered with the request for issuance of prior consent concerning the compatibility of contract on the establishment of designing company with the Act, Articles of association and other general acts of the Chamber.
2. The Managing Board shall decide on the request from paragraph 1 of this article within thirty days.
3. Applicant shall meet the costs of consent granting procedure.

Article 80

For the purposes of examining contracts on the establishment of designing companies and contracts on the establishment of joint offices, as well as supervision of the implementation of any such contracts, the Managing Board shall have the authority to appoint commissions for individual cases or time. The Managing Board shall have the authority to acquire expert opinions of prominent experts unconnected with the Chamber, for this same purpose.
