I. GENERAL PROVISIONS

Article 1

(1) This Act regulates the organisation structure, scope of activity, competence and membership in the Croatian Chamber of Architects and Civil Engineers (hereinafter: the Chamber)

(2) Membership in the Chamber is obligatory for certificated civil engineers performing jobs in physical planning, designing, professional supervision and design supervision in conformity with specific regulations and in order to represent and harmonise their common interests, to protect the public interest as well as the interests of the third parties.

Article 2

(1) According to this Act, an architect is a person holding a degree from the appropriate technical faculty in the Republic of Croatia, with the title of graduate architect.

(2) According to this Act, an engineer is a person holding a degree from the appropriate technical faculty in the Republic of Croatia, with the title of graduate civil engineer, graduate surveying engineer, graduate mechanical engineer and graduate electrical engineer.

Article 3

(1) The Chamber is an independent organisation aiming at preserving the reputation, honour and the rights of certificated architects and graduated civil engineers, seeing that the certificated architects and certificated engineers duly accomplish their tasks in conformity with the law. The Chamber promotes, represents and harmonises their common interests towards the state and other institutions in the country and abroad.

Article 4

(1) The Chamber is a legal entity.
(2) The seat of the Chamber is in Zagreb.
(3) The Chamber has its arms, logo, seal and stamps.

Article 5

(1) The Chamber is authorised to perform jobs for the public in conformity with this Act.
(2) The documents issued by the Chamber are public documents.

II. THE CHAMBER ORGANISATION STRUCTURE

Article 6

Members of the Chamber shall exercise their rights and duties directly in the Chamber departments and indirectly through their elected representatives in the Assembly and by taking part in the organisational and professional activities, as regulated by the Chamber Articles of Association (hereinafter: the Articles)

CHAMBER BODIES

Article 7

Bodies of the Chamber are the Assembly, the Board, the Supervisory Board, and the President.

Article 8

(1) The Chamber Assembly shall consist of representatives elected by the Chamber departments.
(2) The Assembly shall have a proportional representation of all the departments with an equal number from each department.
(3) The Chamber Assembly shall meet at least once in a year, but the President can convene a meeting at any time if he deems it necessary, in order to solve various issues if this has been requested in writing by the board, a department of the Chamber, or at least a quarter of the total membership of the Chamber. If this is the case, the President is obliged to convene the meeting of the Assembly not later than twenty – one days after the request, enclosing a draft agenda.
(4) The Chamber Assembly has a quorum and can make valid decisions only if the majority of its members are present.

Article 9

(1) The Chamber Assembly shall:
- decide on the Articles and other general documents regulated by this Act and the Articles,
- decide on the basic guidelines for its operation,
- decide on the annual budget and adopt the annual financial statement,
- decide on the registration and membership fees,
- call for elections and appoint and dismiss officials in conformity with the Articles,
- decide on the Rules of Procedure of the Assembly,
- accept the Code of Conduct for certificated architects and engineers (hereinafter: Code of Conduct),
- answer all questions directed to it by the Board,
- perform other jobs as regulated by this Act and Articles

(2) The Assembly shall decide on the registration and membership fees following the approval by the Ministry of Physical Planning, Building and Housing.

Article 10

(1) The Board shall consist of three members from each department, together with the department heads and their deputies.
(2) The department heads and their deputies are Board members ex officio.
(3) The President of the Chamber can call the Board meeting at any time. If the Supervisory Board, a department head or at least a quarter of all members of the Board request a meeting in writing, stating the issues to be discussed, the President is obliged to call the Board meeting not later than fifteen days after the request has been made.

Article 11

The Chamber Board shall:
- implement the Assembly decisions,
- prepare the drafts of the Articles and other documents to be adopted by the Assembly,
- propose decisions, conclusions and stances on various issues to be discussed by the Assembly,
- determine and harmonise the interests of its members,
- deal with issues which are not within the legal competence of other bodies,
- perform other jobs as regulated by the Articles.

Article 12

(1) The Supervisory Board shall consist of the President and two members elected by the Assembly.
(2) Members of the Supervisory Board cannot be members of either the Assembly or the Board

Article 13

(1) The Supervisory Board shall:
- supervise the implementation of the Articles and other Chamber documents, including the rights and obligations Chamber members,
- supervise the Chamber financial operations and material transactions, as well as the management of the Chamber funds,
- supervise the work of the Chamber administrative and professional service in conformity with the Articles and other documents.

Article 14

(1) The President of the Chamber shall be elected from the Assembly members.
(2) The president of the Chamber shall act on behalf of the Chamber, manage and supervise its performance, convene and chair sessions of the Assembly and of the Board, shall implement the decisions taken by the Chamber bodies, shall be responsible that the work of the Chamber is performed in conformity with the law, and is entitled to attend all department meetings without the right to vote.

DEPARTMENTS

Article 15

(1) Departments are a form of professional association and organisation with the objective to improve on the work of the Chamber members.
(2) Each member of the Chamber is at the same time member of a department

Article 16

The departments are:
1 Department of Architecture,
2 Department of Civil Engineering,
3 Department of Surveying,
4 Department of Mechanical Engineering,
5 Department of Electrical Engineering.

Article 17

(1) Department officials are the head of department and the department board.
(2) If necessary, the department can have several boards.
(3) Department activities shall not in any way cause damage to other members of the Board.

Article 18

(1) Department heads and their deputies shall be elected at the department sessions among the department members.
(2) The head and the deputy shall prepare and convene sessions, manage the activities of the department and shall act on its behalf in other bodies of the Chamber.
(3) Exceptionally, the head of department can act on behalf of the Chamber on issues concerning the activity of the department, following the authorisation by the Chamber President.

Article 19

(1) The administrative and professional service of the Chamber shall perform administrative, professional, auxiliary and other jobs for the Chamber.
(2) The activities of the Administrative and professional service of the Chamber are regulated by Regulations laid down by the Board.
